Skype

Skype is the peer-to-peer voice and video calling service that became a verb. Founded in 2003 by Swede Niklas Zennstrom and Dane Janus Friis, with the core engineering built in Tallinn by Estonians Ahti Heinla, Priit Kasesalu, Jaan Tallinn and Toivo Annus, Skype pioneered free long-distance calls over the internet and forced the global telecom industry to restructure.

eBay bought Skype in 2005 for $2.6B, a consortium including Silver Lake bought it back in 2009, and Microsoft acquired it in 2011 for $8.5B - still one of the largest European tech exits in history. Microsoft formally shut down Skype for consumers on 5 May 2025, migrating remaining users to Teams.

The Estonian engineering team spawned what locals call the "Skype Mafia" - founders and early employees who funded or founded Bolt, Wise, Starship Technologies, Pipedrive, Teleport, Veriff and dozens of others. That network is why Tallinn has more unicorns per capita than any other European capital.

  1. 1

    Parent-subsidiary layout

Skype's corporate trail is a case study in how a technology company grows out of a small jurisdiction. The product was built in Estonia under what was then a ya-ltd-style Osauhing (OU), but the holding company was domiciled in Luxembourg from early on - a pattern every Estonian-origin scaleup eventually faces. When Silver Lake bought Skype from eBay in 2009, the deal papered through Skype Global S.a.r.l. in Luxembourg, not through the Estonian operating entity.

  2. 2

    Parent-subsidiary layout

That split - Estonian engineering OU + foreign holding company - is the template later used by Wise (Estonia -> UK plc), Pipedrive (Estonia -> Delaware C-Corp), Bolt (OU preserved, but equity-held through Luxembourg SPVs), and essentially every Estonian company that raises a Series B or larger. Founders and the EstVCA generally call this the "flip." The flip happens because US and UK institutional investors will not take preferred equity in an Estonian OU; their fund docs require Delaware or Companies House.

  3. 3

    Estonia e-Residency play

The Skype alumni effect compounds the story. Four engineers and a handful of early managers became angel investors with the capital and the operational scars to back the next generation. Jaan Tallinn funded DeepMind and Anthropic. Ahti Heinla co-founded Starship Technologies. Taavet Hinrikus co-founded Wise. The network is dense enough that a first-time Estonian founder today can get a pre-seed term sheet from a Skype alum in under a week - something that is measurably not true in Helsinki, Riga or Vilnius.

  4. 4

    Estonia e-Residency play

For operators researching an Estonian company setup in 2026, the lesson is structural: start as an Osauhing with e-Residency, keep clean cap-table hygiene (one share class, no phantom options), and plan the flip at Series A when the lead investor demands it. Skype proved the pattern works at $8.5B scale. The Skype shutdown in 2025 does not undo that - it just closes the loop on the product while the corporate playbook keeps propagating.

Build Your Own

Replicate Skype's structure in 4 steps

The formation playbook, distilled from how this company was actually set up.

1

Estonia e-Residency play

Incorporate an OU via e-Residency at ariregister.rik.ee - minimum share capital EUR 2,500, but contribution can be deferred.

2

Estonia e-Residency play

Operate from Tallinn; bank with LHV, Wise Business, or a Swedbank EE account.

3

Parent-subsidiary layout

At Series A, flip to a Delaware C-Corp or UK plc parent that owns 100% of the OU, which becomes the operating subsidiary.

4

Tax strategy

Keep Estonian IP in the OU to preserve 0% tax on retained profits until dividends are actually distributed.

Frequently Asked Questions

Is Skype still operating?

Skype for consumers was shut down by Microsoft on 5 May 2025. Remaining users were migrated to Microsoft Teams. Skype for Business Server on-premises continues on a separate lifecycle.

Was Skype really an Estonian company?

The engineering and core product team were Estonian and based in Tallinn. The holding company was incorporated in Luxembourg almost from the start, and the founding CEOs Zennstrom and Friis were Swedish and Danish respectively. It is fair to call Skype an Estonian-built company.

Who owns Skype now?

Microsoft has owned Skype since the $8.5B acquisition closed in October 2011. It sits inside Microsoft's Luxembourg subsidiary structure.

What is the Skype Mafia?

An informal term for the former Skype engineers and early employees who have gone on to found or fund a large share of Estonia's unicorns, including Bolt, Wise, Pipedrive, Starship Technologies and Veriff.
